Terms of Use & Service Agreement

This Terms of Use & Service Agreement ("Terms," "Agreement") is a legally binding contract between you ("User," "you," or "your") and Hathme Trading and Technology Private Limited, operating under the brand name "Creddx" ("Creddx," "Company," "we," "us," or "our").

By accessing or using our website at https://www.creddx.com, or any associated AI software, Web3 algorithms, API connections, and automated strategy tools (collectively, the "Platform"), you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy and Compliance & Disclosures Notice.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND MUST DISCONTINUE USE IMMEDIATELY.

By creating an account or interacting with the Platform, you represent and warrant that:

• (a)You are at least 18 years of age or the legal age of majority in your jurisdiction.
• (b)You have the full legal capacity and authority to enter into this binding Agreement.
• (c)You are not located in, or a national/resident of, any jurisdiction subject to comprehensive trade sanctions, embargoes, or high-risk FATF designations.
• (d)You are accessing and using the Platform solely for your own account and benefit, and not as an agent, custodian, or proxy for any undisclosed third party.
• (e)Your use of the Platform complies with all applicable local, national, and international laws, rules, and regulations.

3.1 Software Provider Nature: Creddx functions exclusively as a provider of non-custodial software tools, Web3 data analytics, artificial intelligence strategy algorithms, and client-side automated execution routing. Creddx IS NOT A VIRTUAL DIGITAL ASSET (VDA) EXCHANGE, A CUSTODIAL BROKERAGE, A BANKING INSTITUTION, OR A FINANCIAL ADVISOR.

3.2 Non-Custodial Architecture: Creddx does not take custody, possession, control, or ownership of your digital assets, private keys, or fiat currency at any point. All virtual digital assets remain held in your self-sovereign wallets or connected third-party exchange accounts.

3.3 Collaboration with Onramp.Money: Creddx is in collaboration with Onramp.Money to facilitate fiat-to-crypto and crypto-to-fiat conversion services for users of the Platform. Creddx itself does not engage in regulated fiat conversion operations; all such regulated activities are carried out by Onramp.Money as described in Section 4 below.

4.1 Third-Party Integration: All fiat-to-crypto (INR-to-USDT) and crypto-to-fiat (USDT-to-INR) conversion services, bank transfer processing, and token settlement accessible through the Platform are provided exclusively and independently by Finstar AI LLC ("Onramp.Money").

4.2 FIU-IND Reporting Entity Responsibility: Onramp.Money operates as an independent FIU-IND registered Reporting Entity. All statutory compliance obligations under the Prevention of Money Laundering Act, 2002 (PMLA) and FIU-IND rules—including Customer Due Diligence (CDD), Know Your Customer (KYC), Permanent Account Number (PAN) validation, and filing of Cash Transaction Reports (CTRs) or Suspicious Transaction Reports (STRs)—are undertaken exclusively by Onramp.Money.

4.3 No Fiat Handling by Creddx: Creddx does not receive, pool, process, store, or transmit Indian Rupees (INR) or any other fiat currency. Any payment errors, banking network delays, rejected transfers, or account holds occurring during fiat conversion are handled solely by Onramp.Money pursuant to their terms of service.

5.1 Automated Strategy Operations: Creddx AI strategy tools generate client-side instructions and execute automated trades via user-configured API connections. You retain complete control over your API keys, trade parameters, allocation limits, and stop-loss rules.

5.2 API Key Security: When linking third-party exchange accounts to Creddx, you MUST restrict API permissions strictly to "Trade-Only" and EXPLICITLY DISABLE "Withdrawal" or "Transfer" permissions. Creddx is not responsible for losses resulting from misconfigured API permissions, compromised API keys, or security breaches on connected third-party exchanges.

5.3 No Investment Advice or Guarantees: AI-generated signals, backtesting results, automated bots, and analytical insights DO NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. Cryptocurrency trading involves extreme price volatility and significant financial risk. Past performance of any AI strategy or algorithm is not indicative of future results. You assume full financial risk for all automated execution authorized under your account.

You agree that you will not engage in any of the following prohibited activities:

• (a)Violating any applicable law, rule, PMLA regulation, or third-party rights.
• (b)Attempting to bypass, reverse-engineer, decompile, or tamper with Creddx AI algorithms, smart contracts, or platform security infrastructure.
• (c)Utilizing Creddx AI bots to execute market manipulation, wash trading, front-running, or artificial volume inflation strategies.
• (d)Impersonating any person or entity, or providing false or misleading identification details during account creation or API linkage.
• (e)Introducing viruses, Trojan horses, automated scrapers, or malicious code designed to disrupt or harvest platform operations.

All title, ownership, and intellectual property rights in and to the Platform—including AI algorithms, software code, proprietary user interfaces, branding, logos, analytics models, and content—are owned exclusively by Hathme Trading and Technology Private Limited. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the software for your personal, non-commercial use.

8.1 Software Downtime: While Creddx strives for 99.9% platform availability, we do not guarantee uninterrupted or error-free software performance. Scheduled maintenance, unexpected network latency, or blockchain congestion may delay strategy execution.

8.2 Fiat SLAs & Refunds: All transaction SLAs (maximum 2-hour settlement cycles for valid bank transfers) and refund procedures for failed fiat payments are managed exclusively by Onramp.Money under their automated 24-hour refund mechanism. Creddx disclaims all liability for payment gateway failures, banking network outages, or processing delays caused by financial institutions.

You agree to defend, indemnify, and hold harmless Hathme Trading and Technology Private Limited, its directors, officers, employees, agents, and software developers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• (a)Your use or misuse of the Creddx Platform or AI automated strategy tools.
• (b)Your breach of any provision of these Terms or applicable legal regulations.
• (c)Transactions conducted via third-party providers, including Onramp.Money.
• (d)Losses resulting from cryptocurrency market volatility, trading mistakes, or API configurations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREDDX AND ITS OFFICERS, DIRECTORS, OR EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF CRYPTOGRAPHIC ASSETS, LOSS OF DATA, SOFTWARE INTERRUPTION, OR FINANCIAL LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR RELIANCE ON AI BOT STRATEGIES.

These Terms shall be governed by, construed, and enforced in accordance with the laws of India. Any legal action, dispute, or proceeding arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India.

Creddx reserves the right to modify or replace these Terms at any time in its sole discretion. We will notify users of material updates by posting the revised Terms on the Platform with an updated "Last Updated" date. Your continued use of the Platform following any changes constitutes your acceptance of the new Terms.
